These Terms of Service ("Terms") govern your access to and use of TimeGivers (the "Service"), a volunteer coordination platform operated by Annie La (trading as "TimeGivers", "we", "us", "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1. Who can use TimeGivers
You must be at least 18 years old, or the age of legal majority where you live. If you're using TimeGivers on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" includes that organisation.
2. Your account
You must provide accurate information when you register and keep it up to date. You're responsible for keeping your credentials confidential and for all activity that happens under your account. Notify us immediately at support.timegivers@gmail.com if you suspect unauthorised access.
3. The Service
TimeGivers helps organisations schedule volunteers, track shifts and compliance, communicate with volunteers, and manage related workflows. We may add, change or remove features over time. We work hard to keep the Service available, but we don't guarantee it will be uninterrupted or error-free.
4. Acceptable use
You agree not to:
- use the Service for anything unlawful, fraudulent, or misleading;
- send spam, harassing, or abusive messages through the Service;
- infringe anyone's intellectual property, privacy or other rights;
- probe, scan, scrape, or otherwise interfere with the Service's security or infrastructure, or upload malware;
- reverse engineer, resell, sublicense or redistribute the Service, or circumvent any technical limits.
5. Your content and data
You retain ownership of the information you and your volunteers put into TimeGivers ("Your Content"). You grant us a limited, worldwide, non-exclusive licence to host, store, transmit and process Your Content solely to provide and improve the Service. You're responsible for making sure you have the rights and consents needed to put Your Content into the Service, including any personal information about volunteers.
6. Intellectual property
The Service, including its software, design, branding and documentation, is owned by Annie La and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service on the plan you've selected. All rights not expressly granted are reserved.
7. Payments, subscriptions, trials, taxes and refunds
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, currency conversion, tax, cancellation and refund mechanics are governed by the Paddle Checkout Buyer Terms. New organisations may receive a 14-day free trial. Paid plans renew automatically at the end of each billing cycle until cancelled. You can cancel at any time via the billing page or via paddle.net; access continues until the end of the paid period.
Refund requests are handled under our Refund Policy.
8. Suspension and termination
We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our policies. You may stop using the Service at any time by cancelling your subscription and closing your account. When your account ends, we'll delete or anonymise Your Content in line with our Privacy Notice, subject to legal retention obligations.
9. Disclaimers
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
10. Limitation of liability
To the fullest extent permitted by law, neither party is liable for any indirect, consequential, special, incidental or punitive damages, or for loss of profits, revenue, data or goodwill. Our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us (via Paddle) for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that can't be limited by law, including for fraud, death or personal injury caused by negligence.
11. Indemnity
You'll indemnify and hold harmless Annie La against claims, damages and reasonable costs arising out of Your Content, your use of the Service in breach of these Terms, or your violation of any law or third-party rights.
12. Changes to the Service or these Terms
We may update these Terms from time to time. If we make material changes, we'll notify you (for example, by email or in-app notice) before they take effect. Continued use after changes take effect means you accept the updated Terms.
13. Governing law
These Terms are governed by the laws of Victoria, Australia. The courts of Victoria have exclusive jurisdiction over any disputes, without prejudice to any mandatory consumer rights you have where you live.
14. Assignment and force majeure
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond its reasonable control.
